1.Parties and scope
These terms govern the use of the UrhoLink service ("Service") provided by Urho Innovation Oy (Business ID 3605352-6) to the customer. By placing an order, the customer accepts these terms. These terms are intended for business customers only.
2.The service
UrhoLink connects buyers and sellers: UrhoLink Purchase searches for suppliers and sourcing channels, and UrhoLink Sell searches for customers and sales channels. Both work the same way. The Service is offered as subscription tiers (Free test, Basic, Active, Partner). One request covers one product or service, regardless of quantity.
3.Free test
A new customer may submit one trial request at no charge, with limited groundwork and support, to evaluate the Service. The Free test creates no paid subscription and no obligation.
4.Orders and formation of contract
The customer accepts these terms when submitting the service request form in the UrhoLink service. The contract is deemed formed once the customer has submitted the form and we have sent a confirmation to the customer’s email. These terms are available on our website at all times and are also delivered with the confirmation email; the version in force is the one published on our website at the time of the order.
5.Fees and VAT
Subscription fees are as listed at the time of order: Basic 890 € / year, Active 2 950 € / year, Partner per agreement. All fees are exclusive of VAT; the applicable VAT is added. The same model applies to both sourcing and sales — there is no separate success fee.
6.Invoicing and payment
Fees are invoiced. The payment term is 14 days net. Late-payment interest accrues in accordance with the Finnish Interest Act.
7.Term and renewal
A subscription runs for 12 months from confirmation and renews automatically for successive 12-month terms unless cancelled. Cancellation must be made in writing at least 30 days before the renewal date. Requests not used during a term carry over to the next term.
8.Relationships remain yours
New relationships and partnerships that arise through the Service remain the customer’s to use freely, also after the subscription ends.
9.Best efforts; no guarantee of outcome
We perform the Service with professional skill and care, but do not guarantee that a specific supplier, customer, deal or result will be achieved.
10.Confidentiality
Each party keeps the other’s non-public information confidential and uses it only to perform or use the Service.
11.Data protection
Personal data is processed in accordance with our Privacy Policy.
12.Intellectual property
All UrhoLink services, content and rights are owned by Urho Innovation Oy. They may not be copied, modified, distributed or otherwise exploited, whether commercially or in any other context, without the prior written permission of Urho Innovation Oy.
13.Limitation of liability
Our total liability to the customer is limited to the service fees paid by that customer during the preceding 12 months and can never exceed that amount. In any event, our total liability is capped at €2,990. We are not liable for any indirect or consequential damages.
14.Changes
We may update these terms; the version accepted at the time of order applies to that term, with changes taking effect at renewal.
15.Governing law and disputes
These terms are governed by Finnish law. Any disputes are settled in the District Court of Kuopio and, if no settlement is reached there, in the competent court in Finland.
